These Terms & Conditions apply to services, products, event styling, décor hire, digital design, personalised products, food products and other customised services provided by Hono & Hiraya.
By accepting a quote, paying a deposit, confirming a booking, placing an order or otherwise engaging Hono & Hiraya, the customer agrees to these Terms & Conditions.
1. Our Services
Hono & Hiraya provides creative services and customised products, including:
- Event styling and decoration
- Event décor and equipment hire
- Arts, crafts and handmade creations
- Digital design
- Graphic design
- PowerPoint and presentation design
- Video editing
- Image editing, enhancement and retouching
- Personalised apparel and gifts
- Cakes, hampers, food baskets and celebration treats
- Other customised creative services agreed between Hono & Hiraya and the customer
The specific services, products, inclusions and exclusions applicable to each booking will be outlined in the customer's quote, invoice or written agreement.
2. Quotes & Bookings
Quotes are prepared based on the requirements, specifications and information discussed with the customer at the time of enquiry.
Depending on the service, a quote may include:
- Materials
- Labour
- Design and creative work
- Equipment hire
- Delivery
- Setup
- Pack-down
- Installation
- Other services specifically agreed with the customer
A booking is confirmed when:
- The customer has accepted the quote or otherwise confirmed the order;
- The required deposit has been received; and
- Hono & Hiraya has received the information reasonably required to commence the work.
Unless otherwise stated, quotes are based on the scope of work described at the time the quote is prepared.
Changes to the original requirements, specifications, quantities, designs, delivery arrangements or event arrangements may result in additional charges.
Where reasonably practicable, Hono & Hiraya will advise the customer of additional costs before proceeding with additional work.
3. Deposits & Payment
A 50% deposit of the total agreed price is generally required to secure a booking or services in excess of $100, unless a different payment arrangement has been agreed in writing.
The deposit is applied toward the total cost of the customer's booking.
Unless otherwise agreed in writing, the remaining balance is payable upon delivery, completion or receipt of the agreed service or product.
For event styling and decoration, the remaining balance is generally payable on or before the date the service is provided or hired items are delivered or made available.
Hono & Hiraya may delay commencement of production, release of final digital files, delivery of products or provision of event services where required payments have not been received.
Additional Work
Work outside the original agreed scope may incur additional charges, including additional design revisions, products, event setup, travel, waiting time, changes to event requirements, rework or rush work.
Where reasonably practicable, the customer will be advised of additional charges before the additional work is undertaken.
4. Cancellations
Customers should notify Hono & Hiraya as soon as reasonably possible if they need to cancel a booking.
Because Hono & Hiraya may reserve event dates, purchase materials, commence production and undertake preparation specifically for a customer's booking, cancellation may result in costs being incurred.
Where a customer cancels a booking less than one week from the booked date, Hono & Hiraya may retain the entirety of the deposit/full payment to cover reasonable costs and losses actually incurred, subject to the customer's rights under applicable New Zealand law.
Where a customer cancels a booking more than one week from the booked date, Hono & Hiraya may retain an appropriate amount of the deposit/full payment to cover reasonable costs and losses actually incurred, subject to the customer's rights under applicable New Zealand law.
Where the amount paid exceeds reasonable costs and losses incurred, any remaining amount will be considered for refund.
Cancellation does not remove or limit any rights the customer may have under the Consumer Guarantees Act 1993 or other applicable New Zealand legislation.
Customised Products
Where production of a personalised or customised product has commenced, cancellation may result in the customer being responsible for reasonable costs already incurred, including materials, labour and production costs, subject to applicable law.
5. Rescheduling & Date Changes
Requests to change an event date or service date should be made as early as possible.
A date change is subject to Hono & Hiraya's availability and may require additional costs where the change results in additional preparation, materials, loss of another booking opportunity, delivery or travel, supplier changes or other reasonable costs.
A requested date change is not confirmed until Hono & Hiraya has confirmed the new date in writing.
If a new date cannot be accommodated, the request may be treated as a cancellation, subject to the cancellation provisions above and applicable law.
6. Event Decoration & Hire Items
Unless expressly stated otherwise in writing, all event decorations, equipment and reusable items supplied by Hono & Hiraya are provided on a hire basis only.
Hire items may include:
- Backdrops
- Plinths
- Arches
- Stands
- Props
- Decorative structures
- Table décor
- Signage
- Display equipment
- Artificial flowers
- Balloon equipment
- Other reusable décor and equipment
Payment for hire does not transfer ownership of these items to the customer. All hired items remain the property of Hono & Hiraya unless ownership has been expressly transferred in writing.
7. Customer Responsibility for Hired Items
The customer is responsible for taking reasonable care of all hired items while they are in the customer's possession, control or care.
Without prior permission, the customer must not:
- Modify hired items;
- Paint or permanently alter them;
- Cut, drill, staple or glue them;
- Remove components;
- Sub-hire them;
- Sell, give away or dispose of them;
- Use them for another event;
- Move significant installations; or
- Allow them to be used for a purpose other than the agreed booking.
The customer should take reasonable steps to ensure guests, children, venue staff, other suppliers and other persons attending the event do not damage hired items.
Where Hono & Hiraya is responsible for setup and pack-down, customers should not dismantle or move installations unless expressly authorised.
8. Damage, Loss & Theft
Where a hired item is lost, stolen or damaged beyond reasonable wear and tear while under the customer's responsibility, Hono & Hiraya may seek the reasonable cost of repair or replacement, subject to applicable law.
Damage or loss may include damage caused by customers, guests, children, venue personnel, other suppliers, animals, improper use, unauthorised modification, negligent handling or failure to take reasonable care.
Hono & Hiraya will assess the condition of the item and, where applicable, provide details of the reasonable repair or replacement cost claimed.
Normal wear and tear will not be treated as damage.
9. Security / Damage Bond
For selected bookings, Hono & Hiraya may require a separate refundable security or damage bond.
Where a bond is required, the amount will be clearly stated in the customer's quote or invoice.
The security/damage bond is separate from the 50% booking deposit.
Following the return or collection of hired items, Hono & Hiraya will assess their condition.
Where there is no applicable damage, loss or other agreed charge, the bond will be returned within 10 business days.
Where a legitimate deduction is required, Hono & Hiraya will provide the customer with an explanation of the deduction.
The bond does not limit Hono & Hiraya's rights to seek reasonable costs for damage, loss or replacement where those costs exceed the bond amount, subject to applicable law.
10. Delivery & Collection
Where delivery is included or arranged, the applicable delivery fee, location and general delivery arrangements will be stated in the customer's quote or invoice.
The customer is responsible for providing accurate delivery information and ensuring that the delivery location is accessible.
The customer should advise Hono & Hiraya before delivery of any relevant access restrictions, including stairs, restricted vehicle access, long walking distances, difficult terrain, limited parking, building access restrictions, security requirements or venue-specific delivery requirements.
Additional reasonable charges may apply where delivery requires additional labour, travel, waiting time or special arrangements that were not included in the original quote.
If the customer or authorised recipient is unavailable at an agreed delivery time, additional delivery or waiting charges may apply where reasonably incurred.
11. Event Setup & Pack-Down
Where setup and/or pack-down is included in the booking, the agreed arrangements will be stated in the quote.
The customer is responsible for ensuring that:
- The venue is accessible;
- The agreed setup area is available;
- Hono & Hiraya can access the venue at the agreed time;
- Necessary venue permissions have been obtained;
- Other suppliers do not obstruct the setup area;
- Relevant venue restrictions have been communicated to Hono & Hiraya; and
- The venue is reasonably ready for installation.
Delays caused by circumstances outside Hono & Hiraya's reasonable control may affect setup and pack-down times.
Where additional labour, waiting time, travel or equipment is reasonably required because the agreed arrangements are not available, additional charges may apply.
12. Venue Damage & Installation
Hono & Hiraya will take reasonable care when installing event décor.
The customer is responsible for informing Hono & Hiraya of relevant venue restrictions or requirements before the event.
This includes restrictions concerning walls, ceilings, adhesives, hanging installations, balloons, confetti, candles, floor coverings, outdoor installations and other venue-specific requirements.
Hono & Hiraya is not responsible for pre-existing damage, defects or conditions at a venue.
Where venue restrictions prevent an agreed installation from being completed as planned, Hono & Hiraya will work with the customer to identify a reasonable alternative where possible.
13. Digital Design Services
Digital services may include:
- Invitations
- Flyers
- Pamphlets
- Cards
- Signage
- Social media graphics
- Promotional graphics
- PowerPoint presentations
- Digital artwork
- Video editing
- Tribute videos
- Event highlight videos
- Image enhancement
- Image retouching
- Photo restoration
The exact deliverables, file formats, quantities and scope of work will be specified in the customer's quote.
14. Watermarked Digital Proofs
Digital designs will normally be supplied initially as a watermarked proof.
The watermarked proof is provided for customer review and approval only.
The customer is responsible for carefully checking all information appearing on the proof, including names, spelling, dates, times, addresses, contact information, prices, images, colours, logos, layout and other supplied information.
The customer should not distribute, reproduce, publish or use a watermarked proof as a final product.
Once the customer has approved the design and all required payments have been received, Hono & Hiraya will provide the agreed final version without the watermark.
15. Approval & Design Revisions
Customer approval confirms that the customer has reviewed the design and approved the information contained within it.
The number of design revisions included in a service will be stated in the quote where applicable.
Additional revisions or substantial changes may incur additional design charges.
Where an error has been introduced by Hono & Hiraya, we will work with the customer to correct the issue appropriately.
Where an error results from incorrect information supplied or approved by the customer, additional work may be charged where reasonably incurred.
Nothing in this section limits rights available to the customer under applicable New Zealand law.
16. Digital Media, File Conversion & Technical Issues & Source Files
Unless specifically included in the quote, the customer's purchase does not automatically include editable or source files.
Depending on the service purchased, final deliverables may be supplied as PDF, PNG, JPG, SVG, MP4, PowerPoint or another agreed format.
Editable working files, including original Affinity, Adobe or other project files, are only provided where specifically agreed.
Payment for a final exported design does not automatically transfer ownership of Hono & Hiraya's underlying working files, templates or design systems.
Digital media services may include the conversion, digitisation, transfer, restoration or processing of physical or digital media, including VHS tapes, video tapes, DVDs, photographs, audio recordings and other media formats.
Hono & Hiraya will take reasonable care when handling customer-supplied media and during the conversion, digitisation, transfer and delivery of digital files.
Due to the age, condition, quality or deterioration of original media, Hono & Hiraya cannot guarantee that all content will be successfully converted or that the resulting digital file will reproduce the original media at its original quality.
Issues may arise due to damaged or deteriorated media, recording defects, compatibility issues, limitations of conversion equipment or software, file formats, storage media or other technical circumstances outside Hono & Hiraya's reasonable control.
Hono & Hiraya will take reasonable steps to minimise the risk of file corruption, data loss, formatting issues or other technical problems during the conversion or transfer process.
However, Hono & Hiraya is not responsible for unforeseen file corruption, data loss, formatting changes, compatibility issues, degradation or other technical damage that occurs despite reasonable care being taken.
Where reasonably practicable, Hono & Hiraya may attempt an alternative conversion method, file format or transfer method where a technical issue occurs. Additional charges may apply where substantial additional work, equipment, software or third-party services are required.
For the transfer of digital files, customers must provide new, unused USB storage devices where a USB is required for delivery. Previously used USB drives or other storage devices will not be accepted due to the potential risk of corrupted, damaged or infected files, malware, viruses, or other data-related issues being transferred to our systems. Hono & Hiraya takes reasonable precautions to protect its systems and customer data. However, we cannot guarantee the integrity or security of previously used storage devices supplied by customers. If a customer provides a previously used storage device, Hono & Hiraya reserves the right to decline its use and require a new, unused storage device before files can be transferred. The customer is responsible for supplying suitable, functioning storage where the storage device is not provided by Hono & Hiraya.
Customers are responsible for retaining their own copies of completed digital files once they have been supplied.
Unless otherwise agreed in writing, Hono & Hiraya does not guarantee the indefinite storage or future availability of customer-supplied media or completed digital files.
Nothing in this section limits any rights or remedies the customer may have under applicable New Zealand law.
17. Intellectual Property
Hono & Hiraya retains rights in its original design concepts, templates, working files, processes and proprietary design elements unless otherwise agreed in writing.
The customer retains rights to content they supplied where they already own those rights.
Where third-party content is supplied by the customer, the customer is responsible for ensuring that they have the appropriate permission, licence or other legal right to use that content.
The customer grants Hono & Hiraya permission to use customer-supplied content to the extent reasonably necessary to complete the agreed service.
Hono & Hiraya will not knowingly use third-party copyrighted material without appropriate permission or licensing.
Where a design incorporates licensed, purchased or third-party elements, the applicable licence terms may continue to apply.
18. Personalised Products
Personalised apparel, gifts, souvenirs and other customised products are produced according to information supplied or approved by the customer.
Customers are responsible for checking personalised details before production, including names, dates, spelling, colours, sizes, images, text and other personalised information.
Once production has commenced, changes may not be possible or may result in additional production costs.
Where a customer has supplied or approved incorrect information, additional costs may apply to remake or replace the item.
This does not limit any rights the customer may have where the product or service itself fails to meet applicable consumer guarantees.
19. Cakes, Hampers & Food Products
Customers must advise Hono & Hiraya of any known allergies, intolerances or dietary requirements before ordering.
Customers should not assume that a product is allergen-free unless this has been specifically confirmed by Hono & Hiraya.
Where applicable, customers should follow any storage, handling or consumption instructions provided with the product.
Collection and delivery arrangements will be provided with the order.
Once a perishable product has been collected or delivered, the customer is responsible for appropriate storage and handling in accordance with any instructions provided.
Hono & Hiraya should be advised as soon as reasonably possible if a food product appears damaged, incorrect or unsuitable upon collection or delivery.
20. Customer-Provided Content
Where the customer provides photographs, logos, text, artwork, video, music or other material, the customer confirms that they have the appropriate rights or permission for Hono & Hiraya to use that material for the agreed purpose.
The customer is responsible for ensuring that supplied content does not infringe another person's copyright, trademark, privacy, moral rights or other legal rights.
The customer is responsible for ensuring that any names, images, logos or other content they provide is accurate and authorised for use.
21. Our Commitment to Quality
Hono & Hiraya will provide services with reasonable care and skill and will aim to deliver services and products in accordance with the agreed specifications.
Where applicable, products and services are subject to the guarantees and remedies provided under the Consumer Guarantees Act 1993 and other applicable New Zealand legislation.
Nothing in these Terms & Conditions is intended to exclude, restrict or modify rights that cannot legally be excluded, restricted or modified.
22. If Something Goes Wrong
If you believe a product or service does not meet the agreed requirements, please contact Hono & Hiraya as soon as reasonably practicable and provide relevant details, photographs or other supporting information where appropriate.
We will investigate the issue and, where appropriate, work with the customer to provide an appropriate remedy.
Depending on the circumstances and applicable law, a remedy may include correcting the work, re-performing a service, repairing an item, replacing an item, providing a refund or partial refund, or another appropriate remedy.
The applicable remedy will depend on the circumstances and the customer's rights under New Zealand law.
23. Customer Change of Mind
Where a customer simply changes their mind after a service or customised product has been correctly supplied, there is not necessarily an automatic right to a refund.
Customised and personalised products may have been specifically produced for the customer and may not be suitable for resale.
Any cancellation, return or refund will be considered in accordance with the agreed terms and applicable New Zealand law.
Nothing in this section limits any rights the customer has under applicable consumer law.
24. Events Outside Our Reasonable Control
Hono & Hiraya will make reasonable efforts to fulfil confirmed bookings.
However, circumstances outside our reasonable control may affect our ability to provide a service, including severe weather, natural disasters, venue closure, fire, flood, transport disruption, major supplier failure, government restrictions, serious accidents, power or technology failures or other unforeseen circumstances outside our reasonable control.
Where such circumstances occur, Hono & Hiraya will communicate with the customer and work together to find a reasonable solution where possible.
Any refund, credit, rescheduling or alternative arrangement will depend on the circumstances, costs already incurred and applicable law.
25. Photography & Portfolio
Hono & Hiraya may photograph completed décor, products and installations for portfolio, website, social media and marketing purposes.
Where identifiable customers or guests appear in photographs, Hono & Hiraya will seek appropriate permission before using identifiable images for promotional purposes.
Customers may request that their commissioned work or event not be used for promotional purposes.
Where practical, customers should communicate any such request before the event or before promotional material is created.
26. Privacy
Hono & Hiraya may collect and use customer information for legitimate business purposes, including processing bookings, providing quotes, communicating with customers, delivering services, processing payments, maintaining business records, managing customer enquiries and meeting legal or accounting obligations.
Personal information will be handled in accordance with applicable New Zealand privacy requirements, including the Privacy Act 2020.
Hono & Hiraya will take reasonable steps to protect customer information from unauthorised access, use, disclosure, loss or misuse.
Customers may contact Hono & Hiraya regarding personal information held about them, including where they wish to request access to or correction of their personal information, subject to applicable law.
27. Business Customers
Where Hono & Hiraya provides services or products to another business or person acquiring goods or services in trade, different legal provisions may apply.
Any agreement with a business customer that seeks to contract out of the Consumer Guarantees Act 1993 or other legislation will only do so where legally permitted and where the applicable statutory requirements have been satisfied.
Where contracting out is intended, the agreement must be appropriately documented in writing and agreed by the relevant parties.
Nothing in these Terms & Conditions is intended to create an unlawful exclusion of consumer rights.
28. Rush & Urgent Orders
Hono & Hiraya may accept urgent or short-notice orders where capacity allows.
Rush or urgent work may attract an additional fee depending on the time available, complexity, materials, production requirements, additional labour, delivery requirements and requested completion date.
Any applicable rush fee will be communicated before proceeding wherever reasonably practicable.
Acceptance of a rush order does not guarantee completion by a particular time unless that timeframe has been expressly agreed in writing.
29. AI-Assisted Content & Design
Hono & Hiraya may use artificial intelligence (AI) tools to assist with the creation, development or refinement of certain content and creative work.
AI may be used to assist with design concepts, mock-ups, visual representations, image editing and enhancement, written content, layouts, presentations and other creative processes.
AI-generated or AI-assisted material may be further edited, customised and refined by Hono & Hiraya before being provided to a customer.
AI mock-ups and visual representations are intended as examples or guides only. The final product, design, colours, materials, proportions, layout or overall appearance may not exactly match an AI-generated mock-up. Variations may occur due to available materials, production methods, sizing, lighting, venue conditions and other practical considerations.
The use of AI does not necessarily mean that a finished product is entirely AI-generated. Hono & Hiraya may combine AI-assisted tools with human creativity, design, editing, production and quality control to achieve the agreed result.
Hono & Hiraya will make reasonable efforts to review AI-assisted content for accuracy, suitability and quality before providing a finished result. However, AI tools can occasionally produce inaccurate, unexpected or imperfect results.
The use of AI will not limit any rights or remedies available to customers under applicable New Zealand law.
30. Changes to These Terms
Hono & Hiraya may update these Terms & Conditions from time to time.
The terms applying to an individual customer's booking will generally be those provided or made available to the customer when the booking is accepted.
Changes to these Terms & Conditions will not retrospectively alter an existing booking unless agreed with the customer or permitted by applicable law.
31. Governing Law
These Terms & Conditions are governed by the laws of New Zealand.
Any dispute will be dealt with in accordance with applicable New Zealand law and any applicable dispute-resolution process.
Nothing in these Terms & Conditions is intended to exclude, restrict or modify any rights or remedies that cannot legally be excluded, restricted or modified under New Zealand law.
32. Acceptance
By accepting a Hono & Hiraya quote, paying the required deposit, confirming a booking, placing an order or engaging Hono & Hiraya for services, the customer confirms that they have had an opportunity to read and understand these Terms & Conditions.
Where a customer proceeds with a booking after receiving these Terms & Conditions, the customer agrees that these Terms & Conditions apply to the relevant booking, subject to applicable New Zealand law.
Where the customer's quote, invoice or written agreement contains specific terms that differ from these Terms & Conditions, the specific agreed terms will apply to the extent of any inconsistency.
These Terms & Conditions are intended to provide a clear business framework for Hono & Hiraya and should be read together with the customer's individual quote or invoice. They are not intended to exclude or reduce any rights that cannot legally be excluded under New Zealand law.
